By accessing or using Shipboard ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
Shipboard is a web-based platform that helps you organize, evaluate, and develop ideas. We provide tools for idea management, scoring, and collaboration. The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.
3. User Accounts
3.1 Account Creation
To use certain features, you must create an account. You agree to provide accurate, current, and complete information and to update this information to keep it accurate.
3.2 Account Security
You are responsible for safeguarding your account credentials and for any activities under your account. You must notify us immediately of any unauthorized use.
3.3 Account Termination
You may delete your account at any time. We may suspend or terminate your account if you violate these Terms or for any other reason at our discretion, with or without notice.

You retain ownership of all content you create, upload, or share through the Service ("User Content"). By using the Service, you grant us a limited license to store, display, and process your User Content solely to provide the Service to you.

4.3 Prohibited Content

- Is illegal, harmful, threatening, abusive, or harassing
- Infringes on intellectual property rights
- Contains malware or harmful code
- Is spam or deceptive
- Violates any applicable law or regulation
5. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the Service or servers
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated means to access the Service without permission

6. Intellectual Property
6.1 Our Property
The Service and its original content (excluding User Content), features, and functionality are owned by Shipboard and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
6.2 Feedback
If you provide feedback or suggestions about the Service, you grant us the right to use this feedback without restriction or compensation to you.
7. Third-Party Services
The Service may integrate with or contain links to third-party services. We are not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is at your own risk.
8. Payment Terms
Certain features of the Service may require payment. By subscribing to a paid plan, you agree to pay all applicable fees. Fees are non-refundable except as required by law or as explicitly stated. We may change our prices with reasonable notice.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPBOARD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
11. Indemnification
You agree to indemnify, defend, and hold harmless Shipboard and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions. For users in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.
13. Dispute Resolution
We encourage you to contact us first to resolve any disputes informally. If a dispute cannot be resolved informally, you agree that any legal action shall be brought in the courts located in Copenhagen, Denmark. EU consumers may also use the EU Online Dispute Resolution platform.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Shipboard regarding the Service and supersede all prior agreements and understandings.
